1. Acceptance of Terms

By accessing or using LedgersLab ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

LedgersLab provides cloud-based accounting and financial management software for businesses and professionals. The Service includes features such as bookkeeping, transaction tracking and categorization, invoicing, financial reporting, reconciliation, team collaboration, and integration with third-party financial and banking services. We may add, modify, or remove features at any time.

3. Eligibility

To use the Service, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements.

4. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept all risks of unauthorized access to your account
Notify us immediately if you discover or suspect any unauthorized use or security breach
Be responsible for all activities that occur under your account

You are responsible for managing the access rights of any users you invite to your account.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or accounting/financial reporting standards
Infringe upon the intellectual property or other rights of others
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Interfere with, disrupt, or place undue load on the Service or its infrastructure
Use the Service for any fraudulent, deceptive, or unlawful purpose, including money laundering or tax evasion
Reverse engineer, decompile, or attempt to extract the source code of the Service
Resell, sublicense, or commercially exploit the Service without our written permission
Upload false, misleading, or fraudulent financial information

6. Subscription and Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan:

You authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel
You agree to pay all fees according to the pricing plan you selected
Fees are billed in advance and are non-refundable except where required by law or expressly stated otherwise
We reserve the right to change our pricing with at least 30 days' notice; changes take effect at your next billing cycle
You are responsible for all applicable taxes associated with your use of the Service
If a payment fails, we may suspend or downgrade your access until the outstanding balance is paid

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

7. Financial Data and Account Connections

The Service may allow you to connect bank accounts, credit cards, payment processors, and other financial accounts through third-party providers. By connecting these accounts, you authorize us and our integration partners to access, retrieve, and store information from those accounts as needed to provide the Service. You represent that you are authorized to connect any account you link and to share the associated data with us.

8. No Professional Advice

LedgersLab is a software tool and does not provide accounting, tax, legal, investment, or other professional advice. Information, reports, calculations, and outputs generated by the Service are for informational and organizational purposes only and should not be relied upon as a substitute for the advice of a qualified accountant, tax professional, auditor, or attorney. You are solely responsible for the accuracy of your financial records, for your tax filings, and for compliance with all applicable laws and regulations. We strongly recommend that you consult a qualified professional before making financial decisions.

9. Data Accuracy and Your Responsibilities

You are responsible for the accuracy, quality, and legality of the data you enter into or import to the Service. While the Service provides tools for categorization, reconciliation, and reporting, you remain responsible for reviewing and verifying all outputs. We are not responsible for errors, omissions, or consequences arising from inaccurate data you provide or from your reliance on automated features.

10. Data Privacy and Security

We take the security of your data seriously. By using the Service, you acknowledge that:

We collect and process data as described in our Privacy Policy
You retain ownership of your data
We implement industry-standard administrative, technical, and physical safeguards to protect your data
You grant us a limited license to host, process, and use your data solely to provide and improve the Service

No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

11. Third-Party Services

The Service may integrate with third-party services (such as Plaid, Stripe, LemonSqueezy, AI providers, banking providers, and others). Your use of those integrations is subject to the terms and privacy policies of the applicable third parties. We are not responsible for the availability, actions, content, or policies of any third-party service, and your dealings with them are solely between you and that third party.

12. Intellectual Property

The Service and its original content, features, and functionality are owned by LedgersLab and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. We welcome feedback, and you grant us the right to use any feedback or suggestions you provide without obligation to you.

13. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We may modify, suspend, or discontinue any part of the Service at any time.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY CALCULATIONS OR REPORTS WILL BE ACCURATE. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERSLAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless LedgersLab and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

17. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms or nonpayment. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

18. Data Export and Deletion

You may export your data from the Service at any time while your account is active, in a standard format we make available. Following termination, we will retain or delete your data in accordance with our Privacy Policy and applicable legal and regulatory retention requirements. We recommend exporting any data you wish to keep before closing your account.

19. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.
